MERGER - Entity Selection

The General Corporation Law of Puerto Rico, provides that, any entity organized under the laws of Puerto Rico or any other jurisdiction, may merge with one or more other entities organized under the laws of Puerto Rico or any other jurisdiction. The surviving or resulting entity may be organized under the Laws of Puerto Rico, by recording the transaction with the Secretary of State Registry of Corporations and Entities.
To add entities to the merger that are registered with PR DOS, use the Standard Search section to locate the entities and click the "Select" link to add them to the merger. Please click the name link in the search results to view the entity details and verify it is the correct entity.
To add entities to the merger that are registered with another agency, click the "Add Unregistered Entity" button to enter the details for the entity. Please note that unregistered entities cannot be the surviving entity in a merger.
By definition, a merger is the joining of two or more legally separate entities who decide to pool their assets and where one entity absorbs the assets and liabilities of other(s). Currently unregistered entities may not be the surviving entity in a merger. Consolidation is two or more legally separate entities coming together to form a new entity.
